These Terms of Service ("Terms") constitute a legal agreement between you and Cyrthos Logistics Ltd ("Company," "we," "us," or "our"), a Canadian logistics and port operations provider registered at 1188 W Georgia St, Vancouver, BC V6E 4A2, Canada (VAT: 847392157 RT 0001).

By accessing, browsing, or using our website, services, or facilities, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must cease use of our services immediately.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after any modification constitutes acceptance of the revised Terms.

2. Services Description

Cyrthos Logistics Ltd provides port operations, cargo handling, logistics management, fleet operations, and related supply chain services ("Services"). Our Services are designed to facilitate efficient movement of goods through Canadian ports and support comprehensive logistics operations.

Service availability, scope, and performance metrics are subject to operational capacity, regulatory compliance, weather conditions, labor availability, and other factors beyond our reasonable control. We provide Services on an as-is basis subject to applicable laws and regulations.

3. User Responsibilities

You agree to use our Services and website only for lawful purposes and in a manner that does not violate any applicable laws, regulations, or the rights of any third party. You assume full responsibility for:

  • Providing accurate and complete information in all communications and transactions
  • Maintaining the confidentiality of any credentials or account information
  • Ensuring compliance with all applicable customs, import/export, and transportation regulations

Our total liability for any claim arising from these Terms or your use of our Services shall not exceed the fees paid by you in the 12 months preceding the claim. Some jurisdictions do not allow limitation of liability, and in such cases, our liability shall be limited to the maximum extent permitted by applicable law.

6. Disclaimer of Warranties

Our website and Services are provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

8. Payment Terms and Billing

All fees and charges for Services are due according to agreed payment terms, typically net 30 days from invoice issuance. Payment must be made in Canadian dollars via the methods specified in your service agreement.

Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend or terminate Services for non-payment. Invoicing errors must be reported within 30 days of invoice date.

All prices are exclusive of applicable Harmonized Sales Tax (HST) unless stated otherwise. You are responsible for all applicable taxes, duties, and government fees related to your use of our Services.

9. Confidentiality

Both parties agree to protect confidential information shared in connection with our Services. Confidential information includes business plans, pricing, operational procedures, customer data, and technical specifications, but excludes information that is public knowledge or independently developed.

We may disclose confidential information only when required by law, court order, regulatory authority, or to comply with port and customs regulations. We will use reasonable efforts to limit such disclosure and, where permitted, provide advance notice.

10. Data Protection and Privacy

We collect and process personal and operational data in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws. Our detailed privacy practices are outlined in our Privacy Policy, which is incorporated by reference into these Terms.

Your data may be processed to provide Services, comply with legal obligations, prevent fraud, and improve our operations. By using our Services, you consent to such processing. You have the right to access, correct, and request deletion of personal information, subject to legal requirements.

We implement industry-standard security measures to protect your information. However, no transmission over the internet is completely secure, and we cannot guarantee absolute security.

11. Cargo and Liability Limitations

Cyrthos Logistics Ltd provides cargo handling and logistics services subject to industry standards and regulatory requirements. However:

  • We assume custody of cargo only when agreed in writing and subject to specified liability limits
  • Liability for loss or damage is limited to declared value or actual value, whichever is lower
  • We are not liable for delays caused by weather, strikes, regulatory actions, or events beyond reasonable control
  • Proper cargo description, packaging, and hazmat declaration are the shipper's responsibility
  • Insurance of cargo is your responsibility unless otherwise agreed

12. Regulatory Compliance

You acknowledge that port operations and cargo handling are subject to regulations administered by the Canada Border Services Agency (CBSA), Transport Canada, provincial governments, and international maritime authorities. You agree to:

  • Comply with all customs, import/export, and safety regulations
  • Provide accurate documentation and declarations
  • Obtain necessary permits and licenses for your cargo
  • Cooperate with regulatory inspections and audits

We reserve the right to delay or refuse Services if we have reasonable grounds to believe your cargo or operations violate applicable laws. Regulatory fines or penalties are your responsibility unless caused by our breach.

13. Third-Party Links and Content

Our website may contain links to third-party websites and resources. We are not responsible for the content, accuracy, legality, or practices of any third-party sites. Your access to third-party sites is at your own risk and subject to their terms of service.

We do not endorse or guarantee any third-party products, services, or information. Linking to a third-party site does not imply affiliation or approval.

14. Termination and Suspension

We reserve the right to terminate or suspend your access to our Services immediately and without notice if:

  • You violate these Terms or applicable laws
  • You engage in fraudulent or malicious activity
  • You fail to pay undisputed invoices
  • You provide false or misleading information
  • We have reasonable grounds to believe your activity poses a legal risk

Upon termination, all rights and licenses granted to you are immediately revoked. Sections 1, 5, 6, 7, 8, 10, and 15 survive any termination of these Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to conflict of law principles. The federal and provincial courts located in Vancouver, BC have exclusive jurisdiction over any disputes arising from these Terms.

You irrevocably consent to the jurisdiction and venue of these courts and waive any objection based on inconvenient forum. Any claim must be brought within one (1) year of the cause of action arising, or it is barred.

Both parties agree to attempt good-faith negotiation of disputes before initiating litigation. If negotiation fails, disputes shall be resolved through the courts of British Columbia.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

17. Entire Agreement

These Terms, together with our Privacy Policy, any service agreements, and additional terms posted on our website, constitute the entire agreement between you and Cyrthos Logistics Ltd regarding the subject matter herein. These Terms supersede all prior communications, agreements, and understandings, whether written or oral.

No course of dealing, trade practice, or prior negotiations shall modify these Terms unless explicitly confirmed in writing by an authorized representative of Cyrthos Logistics Ltd.

18. Assignment

You may not assign or transfer any rights or obligations under these Terms without prior written consent from Cyrthos Logistics Ltd. Any attempted assignment is void. We may assign these Terms and our rights hereunder to any successor or affiliate without your consent. These Terms bind and inure to the benefit of the parties and their respective successors and permitted assigns.
